Welcome to Zyndix! These Terms and Conditions (“Terms”) govern your access to and use of Zyndix’s website, services, and products (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms and all policies referenced herein. If you do not agree to these Terms, you may not use our Services.

1. Acceptance of Terms

By accessing or using any part of the Services, you agree to become bound by the terms and conditions of this agreement.
If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case “you” or “your” shall refer to such entity.

2. Services Description

Zyndix provides automation consulting, AI solution development, and ongoing support services, including but not limited to:

• Business process automation and workflow optimization
• Marketing and sales automation
• AI chatbot and customer service automation
• CRM and system integration
• Custom AI agent development and implementation

Our Services are designed for small and mid-sized businesses and may include subscription plans, implementation projects, or custom-built automation solutions.

3. Account Registration and Security

a. You may be required to register an account to access certain features of our Services. You agree to provide accurate, current, and complete information during registration and to keep it updated.b. You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account.c. Zyndix is not liable for any loss or damage resulting from your failure to secure your login information.

4. Payment Terms

a. Subscription Plans: If you subscribe to a Zyndix plan (e.g., SmartFlow, GrowthEngine, CustomerAI, or CustomAI), you agree to pay all applicable fees as described on our pricing page or in your service agreement. Prices exclude applicable taxes or fees.

b. Billing Cycles: Subscription fees are billed monthly, quarterly, or annually in advance, depending on the plan selected.

c. Custom Solutions: For one-time or project-based services, payment terms will be outlined in your proposal or Statement of Work (SOW).

d. Late Payments: Late payments may incur interest or fees as stated in your agreement.

e. Refunds: All fees are non-refundable unless otherwise stated in a written service agreement or required by law.

5. Intellectual Property

a. Zyndix IP: All intellectual property rights in our Services—including but not limited to software, designs, templates, logos, and documentation—are owned by Zyndix or its licensors. You may not reproduce, modify, or use Zyndix intellectual property without written consent.

b. Client IP: Any materials or data you provide to Zyndix remain your property.

c. Developed IP: Unless otherwise agreed in writing, Zyndix retains ownership of any reusable components, scripts, or frameworks developed during client projects, while you retain full rights to deliverables created specifically for your business.

6. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information shared during the course of engagement. This includes business processes, data, and strategies. Confidentiality obligations do not apply to information that is public, independently developed, or required by law to be disclosed.

7. User Conduct

You agree not to:

a. Use the Services for unlawful or harmful purposes.

b. Interfere with or disrupt the security or functionality of our systems.

c. Attempt unauthorized access to data, networks, or servers.

d. Engage in activity that may overload or impair Zyndix infrastructure.

8. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement

.Zyndix does not guarantee that the Services will be uninterrupted, secure, or error-free.

9. Limitation of Liability

To the maximum extent permitted by law, Zyndix, its affiliates, employees, and licensors shall not be liable for any indirect, incidental, special, or consequential damages (including lost profits, data loss, or business interruption) arising out of or related to the use or inability to use the Services, even if advised of such damages.

10. Indemnification

You agree to indemnify and hold harmless Zyndix, its employees, and affiliates from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Services or your violation of these Terms.

11. Termination

Zyndix may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services will immediately cease. Any outstanding fees remain due.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Lithuania and applicable European Union regulations, without regard to conflict-of-law provisions.

If you are a business located outside the EU, you agree that any disputes shall be handled under Lithuanian jurisdiction.

13. Changes to Terms

Zyndix reserves the right to modify or update these Terms at any time. If material changes occur, we will notify users by email or a notice on our website at least 30 days prior to the new Terms taking effect. Continued use of the Services after changes are posted constitutes acceptance.
